TERMS & CONDITIONS OF USE
Welcome to Community P2P, a platform designed to facilitate connections between its users. By using our platform, you agree to the terms and conditions outlined in these terms and conditions of use. Please be sure to read carefully, fully understand and agree to the terms of this Agreement.
1. Conditions of use
By using this platform, you certify that you have read and reviewed this Agreement and that you agree to comply with its terms. If you do not want to be bound by the terms of this Agreement, you are advised to leave the platform accordingly. "Community P2P SAL" only grants use and access of this platform and its services to those who have accepted its terms.
Notwithstanding the above, "Community P2P SAL" reserves its rights to discretionary approve or deny your access or use of the platform, at any time, without any prior notice.
2. Privacy Policy
Before you continue using the platform, you are required to read and approve our privacy policy regarding our user's personal data collection, archiving and processing. It will help you better understand our practices.
3. Age restriction
You must be at least 18 (eighteen) years of age before you can use the platform. By using the platform, you warrant that you are at least 18 (eighteen) years of age and you legally adhere to this Agreement. "Community P2P SAL" assumes no liability resulting from age misrepresentation.
4. Legal entity representations
If you are registering to use the platform services on behalf of a legal entity, in order to effectively accept this Agreement, you declare and guarantee that (i) such legal entity is legally established and valid in accordance with applicable laws and (ii) you are duly authorized by the legal entity to have the right to act on its behalf.
5. Scope of Services
5.1 Matching services only.
The services provided via the platform are limited to connecting and matching its users in view of concluding – under each of the concerned users' sole liability – a variety of commercial transactions outside the platform.
"Community P2P SAL", which does not partake nor facilitate nor oversee any of said transactions (in any form whatsoever), shall not handle nor process nor record any financial operation. You understand and agree that "Community P2P SAL" is not a party to any transaction you may enter into via the platform and that you will be directed to potentially contract with other user(s).
5.2 Informed investment decision.
You should make your own informed and independent investment decision after careful consideration including, but not limited to, seeking necessary professional advice from your own and independent professional advisers. "Community P2P SAL" shall refrain from influencing, advising or guiding any user's independent decisions.
5.3 No Guarantees.
All transactions entered into between matched users shall be at each of the said users' sole liability. No guarantee is given for the expected results of any transaction or that the transaction is fit for a user's particular purpose.
5.4 No endorsement.
"Community P2P SAL" does not endorse and does not make any representation, warranty or promise of any kind regarding any user and/or matched transaction and shall have no liability for any loss or damage caused to any user from another user resulting, directly or indirectly, from a matched transaction.
Any reference to third-party services does not imply endorsement, sponsorship or approval by "Community P2P SAL" of said services, which expressly disclaims responsibility for the quality, reliability and professionalism of third-party offerings.
5.5 Transactions outcomes disclaimer.
"Community P2P SAL" does not guarantee financial performance. All transactions offered by users are to be executed with the understanding that the involved users assume full responsibility for their decisions and associated risks.
6. User's conduct
6.1 Consumer protection.
You shall abide, at all times, with all consumer rights and protections provided under law No. 659/2005 dated 04/02/2005 on consumer protection (if any).
6.2 Good faith.
You must conduct, at all times, with the other users of the platform in good faith, honestly and fairly whether during (i) the negotiations leading to a matched transaction or (ii) the execution of the matched transaction. Misconduct is not tolerated.
6.3 Transparency.
You must be transparent in your communications with other users of the platform and genuine in your disclosures. Misrepresentation is not tolerated.
6.4 Mutual respect.
You are expected to treat other users of the platform with respect. Discriminatory, offensive or abusive language or behavior is not tolerated.
6.5 User's privacy.
You shall keep strictly confidential all other user's data and avoid its unauthorized disclosure.
6.6 Conflict of interest.
You shall promptly disclose to the other concerned user any possible conflict of interest with regard to any potential transaction and avoid entering into any transaction (to be) matched via the platform without previously disclosing, addressing and resolving potential conflict of interest situations.
7. User's responsibility
7.1 Accuracy of information.
You understand, accept and agree that all information, materials and other content included in or accessible via the platform is for informational purposes only and should not be construed as professional, financial or legal advice.
Such information, materials and content are made available on an "as is" and "as available" basis. "Community P2P SAL" makes no (express or implied) representations or warranties as to the accuracy or completeness of the said information, materials and content and/or fitness for any particular purpose.
7.2 Due diligence.
You are invited to perform your own research and commercial, legal, financial and tax due diligence before entering into any transaction and assess all risks involved therein. This include, inter alia, verifying the identity, credibility and solvency of the other user.
7.3 Legal compliance.
You will comply with all applicable laws and regulations and refrain from using the platform for any illegal purposes, including but not limited to, money laundering and terrorist financing, loan-sharking or any business prohibited by law.
7.4 Risk acknowledgement.
You understand and accept the risks that may arise from using the platform, including but not limited to, any financial loss you may suffer from entering into any transaction and/or any damage (in its broadest sense) you may incur resulting therefrom.
7.5 Platform performance.
You understand and accept that "Community P2P SAL" does not warrant that the platform will be error-free, uninterrupted or meet specific performance expectations. "Community P2P SAL" disclaims liability for damages arising from technical failures, errors, incompatibilities and user's misuse.
8. Indemnification
8.1 "Community P2P SAL" exclusion of liability.
"Community P2P SAL" shall not be held liable for any losses, damages, disputes, or claims arising from any matched transactions made on the platform. You shall take every possible measure to protect to the maximum extent "Community P2P SAL" from any such losses, damages, disputes or claims arising out of your use of the platform.
8.2 Hold harmless warranty.
You agree to (i) hold "Community P2P SAL", its officers, directors, and employees, harmless from any claim, demand, or damages (including reasonable legal fees) arising out of or related to your use or improper use of the platform or breach of this agreement or violation of any applicable law or regulation and (ii) keep it along with all said individuals fully indemnified in this respect.
9. User's data
9.1 Data collection, archiving and processing.
You hereby expressly authorize "Community P2P SAL" to collect, archive and process all your (personal) data entered in the platform and share the said data on the platform with all its users for matching purposes as per the provisions of article (92) of law No. 81/2018 dated 10/10/2018 (regarding electronic transactions and personal data).
9.2 Data security.
"Community P2P SAL" shall take all necessary measures to protect and safeguard the user's (personal) data and avoid its unauthorized disclosure.
9.3 Data update.
You must regularly correct, modify, update and complete any of your incorrect, incomplete, unclear or outdated (personal) data as per the provisions of article (101) of law No. 81/2018 dated 10/10/2018 (regarding electronic transactions and personal data).
9.4 Data correction.
"Community P2P SAL" reserve its rights, in the interests of accuracy and transparency, to (i) correct, modify, update and complete the user's (personal) data, at any time at its sole discretion, without any prior notice to the concerned user and (ii) notify any other user of such correction, modification, update or completion.
10. Fees
All fees (subscription, subscription renewal, matching and information reports) resulting from the access or use of the platform are non-refundable (for any reason whatsoever).
Users are automatically directed to "Areeba SAL" payment gateway platform for the registration of their (credit and debit) cards particulars. "Community P2P SAL" shall not have access to any information whatsoever related to the users' card, but shall rather receive from the said company an equivalent digital token to be used for the settlement of applicable fees (subscription, subscription renewal, matching and information reports). Users irrevocably and unconditionally authorize "Community P2P SAL" to use the aforesaid digital tokens for the settlement of aforesaid applicable fees exclusively.
11. Intellectual property
You agree that all material and data downloaded on this platform are the sole property of "Community P2P SAL" with all ensuing legal consequences.
12. Users disputes
12.1 No involvement.
"Community P2P SAL" is not a party to any transaction. Therefore, dispute between users engaging in transaction(s) have nothing to do with "Community P2P SAL". "Community P2P SAL" has neither the right nor the obligation to interfere or resolve any dispute arising therefrom. "Community P2P SAL" cannot be held liable nor accountable (for any reason whatsoever) for any obligation, whatsoever resulting from any matched transaction.
12.2 Hold harmless warranty.
You agree to (i) hold "Community P2P SAL", its officers, directors, and employees, harmless from any claim, demand, or damages (including reasonable legal fees) arising out of or related to a matched transaction and (ii) keep it along with all said individuals fully indemnified in this respect.
13. Termination
"Community P2P SAL" is entitled to terminate this Agreement (even for convenience), at any time, without the need for any prior notice and/or (extra) judicial recourse as per the provisions of article (241) of the Code of Obligations and Contracts.
14. Terms of use modifications
These terms of use are subject to modification, at any time without any prior notice, at "Community P2P SAL" sole discretion. Your continued use of the platform shall be deemed as your irrevocable and unconditional approval of these amended terms and conditions of use (in their latest modified and applicable version).
15. Applicable law
These terms of use are governed by the laws applicable in Lebanon.
16. Dispute resolution
The competent courts of Beirut (Lebanon) shall have exclusive jurisdiction to settle any dispute arising between you and "Community P2P SAL" resulting from the validity, interpretation or execution of these terms and conditions of use.
17. Approval of these terms of use
By using this platform, you acknowledge that you have read, understood and agreed to these terms and conditions of use. If you do not agree to these terms, you must not continue to use the platform.
